Terms of Use
The basic rules of using Fylo during V0.
1. About these Terms
These Terms govern use of the Fylo website at www.fylo.co.za. By submitting an item, making a reservation, or otherwise using Fylo, you agree to these Terms and our Privacy Policy. Our Listing & Marketplace Standards, Authenticity, Counterfeit & Ownership Policy, Transaction & Handover Policy, Buyer & Seller Safety Guide, and Prohibited Items Policy form part of these Terms by reference.
2. Eligibility
You must be at least 18 and legally capable of contracting under South African law. If acting for a business, you confirm you have authority to bind it.
3. No accounts — how Fylo identifies you
Fylo does not currently use buyer or seller accounts, logins, or passwords. Instead: Sellers are identified through the details supplied in a submission (name, email, and other information requested for that category) and, once approved, a seller record used to link current and future submissions.
Buyers are identified through the contact details supplied when making a reservation. You're responsible for the accuracy of the contact details you give us, and Fylo may rely on them to communicate with you, including to send transactional emails relevant to your submission or reservation. Fylo may decline to deal with a particular buyer or seller — including by refusing future submissions or reservations linked to their details — without needing to "suspend an account", because none exists.
4. What Fylo Marketplace is — and isn't
Fylo provides listing infrastructure, reviews and publishes submissions as listings, facilitates reservations, and records transaction stages. Fylo is not the seller or owner of listed goods (unless we say so), not the buyer, not a bank, payment processor, or escrow provider, not a courier, not a professional authentication service, and not an insurer or guarantor. Nothing here excludes liability or obligations that South African law does not permit us to exclude.
5. How the V0 marketplace works
1. A seller submits an item, including required photographs, through the website.
2. The submission is stored privately and Fylo is notified.
3. Fylo reviews it and may approve, reject, pause, or request more information or photographs.
4. An approved submission enters an under_review stage — it is linked to a seller record but is not yet public.
5. Fylo completes and refines the listing, then manually publishes it as available.
6. Buyers browse published listings and may reserve one or more items.
7. Fylo facilitates contact and the transaction process.
8. Buyer and seller arrange a handover; the buyer inspects the item.
9. The buyer pays the seller directly.
10. The seller independently confirms funds have cleared, then hands over the item.
11. The seller confirms handover completion via a secure link Fylo emails them (see §9).
12. Fylo updates the listing's status accordingly.
6. Listings
Governed by our Listing & Marketplace Standards. Fylo may edit listings for formatting, clarity, or categorisation, but won't change the substance of a factual disclosure without confirming the change with the seller.
7. Reservations
A single reservation submission may cover one or more items, from one or more sellers, potentially in different cities. Each item within a reservation is tracked, actioned, and can be cancelled or completed independently — reserving several items together does not merge them into one transaction. Where a combined figure is shown for convenience (e.g. "Total value of reserved items"), it is informational only — it is not an amount payable to Fylo and Fylo does not collect it. 8. Payment
Fylo does not process, receive, hold, or release purchase funds. Buyers pay each seller directly for each item. A proof-of-payment screenshot or document is not confirmation that funds have cleared — sellers must verify this independently through their own bank before handing over an item. Fylo cannot reverse a direct payment or guarantee recovery of money paid to another user.
9. Handover and seller confirmation
Buyers should inspect an item before paying; if it materially differs from the listing, the buyer may decline before paying. Once a seller has verified cleared funds and handed over the item, Fylo emails the seller a secure, time-limited, single-use link for that specific item. Opening the link does not itself confirm anything — the seller must actively select "Confirm handover complete" after reviewing a reminder of what that confirmation means. This records the seller's confirmation and its timestamp against that item. This is a seller-side confirmation only; Fylo does not currently collect a matching buyer-side confirmation, and seller confirmation does not itself resolve or prevent a later dispute.
10. Prohibited behaviour
You must not list stolen, counterfeit, unlawfully possessed, or prohibited goods; misrepresent condition, authenticity, completeness, or ownership; give false contact or identity information; harass, threaten, defraud, or endanger another user; try to circumvent Fylo's moderation or reporting; or use Fylo unlawfully.
11. Moderation and marketplace access
Fylo may review, moderate, warn, or refuse to deal with a buyer or seller (based on the details linked to their submissions or reservations) where we reasonably believe these Terms or our other policies have been breached, or we have safety, fraud, or legal concerns. Because there are no accounts, this operates as a refusal to process further submissions/reservations linked to those details, rather than an "account suspension."
12. Content you submit — ownership, licence, and promotional use
When you submit photographs, descriptions, or other content to Fylo:
1. You keep ownership. Submitting content to Fylo does not transfer ownership of it to us.
2. You confirm your right to submit it. You confirm you own the content, or otherwise have sufficient rights and authority to submit it, and that it doesn't knowingly infringe anyone else's rights or break the law.
3. Photograph accuracy. Photographs of an item for sale must normally show the actual item being sold. Manufacturer, catalogue, or stock photographs must not be passed off as photos of your specific item — Fylo may reject or remove listings that do this.
4. Marketplace-operating licence. You grant Fylo a non-exclusive licence to store, host, reproduce, resize, crop, compress, reformat, display, and publish your submitted content for the purpose of operating your listing and the Fylo marketplace — for example, showing it on the listing page, thumbnails, and search results.
5. This licence does not cover unrelated promotional use. It does not, by itself, give Fylo the right to use your content in paid advertisements, social media campaigns, or brand marketing unconnected to displaying your own listing, or to keep using it for promotion after your listing has ended.
6. Third-party trademarks. Genuine third-party trademarks or brand names may appear in a listing solely to identify the actual goods being sold (for example, naming the publisher of a board game). This does not imply endorsement by, or affiliation with, the trademark owner.

13. Third-party services
Fylo uses third-party providers to run the platform, including website development/hosting tooling, source-code and database infrastructure, transactional email, and (where you've consented) analytics. See our Privacy Policy and Operator & Vendor Register for detail. Fylo is not itself a payment processor, courier, or escrow provider, even where a future third-party service is layered in for those purposes under separate terms.
14. Complaints and disputes
See our Complaints, Disputes & Reporting Policy. Because payment happens directly between buyer and seller, Fylo's ability to reverse a completed payment or compel a refund is limited.
15. Liability
To the maximum extent permitted by South African law, Fylo is not liable for the acts or omissions of buyers or sellers, the condition, authenticity, legality, or safety of listed items, or losses arising from direct payments or in-person handovers between users. Nothing here excludes liability that cannot lawfully be excluded, including under the Consumer Protection Act where it applies.
16. Indemnity
You agree to indemnify Fylo, to the extent permitted by South African law, against claims, losses, or costs directly caused by your breach of these Terms or your unlawful conduct in connection with Fylo. This indemnity does not extend to claims arising from Fylo's own negligence or breach of these Terms, and is not intended to require you to cover losses you did not cause.
17. Governing law and disputes
These Terms are governed by the law of the Republic of South Africa. Before going to court, we encourage you to first raise a dispute through our Complaints, Disputes & Reporting Policy so we can try to help resolve it. Nothing here removes your right to approach the South African courts, or, where applicable, any relevant consumer protection body.
18. Changes to these Terms
Minor or non-material updates (for example, formatting, clarification, or contact-detail changes) may be made without special notice, with an updated version date. Material changes — affecting your rights, how we use your data, fees, dispute processes, or your obligations — will be flagged with reasonable prior notice on the website, and, where you have an ongoing reservation in progress, we'll take reasonable steps to let you know directly.
